Casino Journal will spin off subsidiary
Casino Journal Publishing Group, the Las Vegas company producing Casino Player and Strictly Slots magazines, said it approved a plan to spin off its business-to-business-oriented Gaming Venture Corp. U.S.A. subsidiary to existing shareholders.
In a statement Wednesday, Casino Journal said under its spinoff plan, company shareholders will receive one share of Gaming Venture Corp. U.S.A. for every three shares of Casino Journal shares they hold on a to-be-determined record date.
After the spinoff, Casino Journal said, Alan Woinski will resign as Casino Journal president, chief financial officer and board member. He'll become chairman, chief executive officer and president of Gaming Venture Corp. Also, under a three-year agreement, Woinski will remain as a consultant to Casino Journal, overseeing its financial team, its mergers and acquisitions and writing for Casino Journal publications, the company said.
Also after the spinoff, Kim Santangelo-Woinski also will resign as a member of Casino Journal's board but will continue as vice president of Gaming Venture Corp.

BusinesSuites of Austin, Texas, has purchased ExecuCentre LLC, a Rouse Co. unit leasing furnished business offices.
Before the deal, BusinesSuites had 10 office centers in Las Vegas, Austin, Baltimore, Dallas and Houston.
Financial terms weren't disclosed.
